Terms of Service
Last updated: 30 October 2026
1. About us and these terms
This website, massflowlabs.com (the "Site"), is operated by Mass Flow Labs Ltd ("we", "us", "our"), a company registered in England and Wales under company number 17510804, with its registered office at Office 31699 Unit F, Winston Business Park, Churchill Way, Sheffield, South Yorkshire S35 2PS, United Kingdom. Email: support@massflowlabs.com.
We provide software, apps and related services for ecommerce, inventory, point of sale (POS) and ERP (our "Products"). These terms apply to your use of the Site and to every order you place with us, unless we have agreed different written terms with you. By using the Site or placing an order you agree to them. If you do not agree, please do not use the Site or order from us.
"You" means the person or business using the Site or buying from us. A "Consumer" is an individual acting wholly or mainly outside their trade, business, craft or profession. Where you buy for your business, you confirm you have authority to bind it.
2. Our Products
We describe each Product on the Site, including what it does, how it is delivered, and (where relevant) whether it is a one-off purchase or a subscription. We take reasonable care that descriptions are accurate, but minor variations may occur as Products are developed and improved.
3. Orders and contract
- Placing an order is an offer to buy. We will confirm by email; a contract is formed when we send that order confirmation (or, for software, when we make it available to you, if earlier).
- We may decline an order, for example if a Product is unavailable, we have made a pricing error, we cannot verify your details, or we suspect fraud. If we have already taken payment we will refund it.
- You must give accurate and complete information when you order and keep it up to date.
4. Prices and payment
- Prices are shown in pounds sterling (GBP). Any VAT that applies is shown at checkout before you pay.
- Payment is taken at checkout by card or other methods offered there, processed by Shopify Payments and Stripe. Your payment details are handled by those providers and not stored by us.
- For subscriptions, you authorise us to charge the recurring fee at the intervals shown until you cancel.
- If a payment fails or is reversed, we may suspend access to the Product until the amount is paid.
- If we make an obvious pricing error we may correct it and give you the choice of continuing at the correct price or cancelling for a full refund.
5. Delivery and access
Software and digital Products are delivered electronically, by download link, account access or licence key sent to the email address you give us. See our Shipping Policy for details. We will aim to provide access within the timescale stated on the Product page or, if none, promptly after payment is confirmed. You are responsible for having a suitable device, internet connection and any third-party accounts (for example a Shopify store) that the Product needs to run.
6. Licence and intellectual property
- Subject to these terms and payment of the applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable licence to use the Product for your own internal business purposes for the licence period (or, for a one-off purchase, for as long as you comply with these terms).
- All intellectual property rights in the Site and the Products (including code, designs, documentation and the Mass Flow Labs name and logo) belong to us or our licensors. You receive only the rights expressly stated in these terms.
- You must not copy, modify, reverse engineer, decompile, resell, sublicense or provide the Product to third parties, or remove any proprietary notices, except as permitted by law.
- Unless we agree otherwise in writing, you keep ownership of your own data and content that you put into a Product. You give us a limited licence to use it only to provide the Product and support to you.
- Bespoke development work is governed by the terms of the relevant written proposal or statement of work, which will state who owns the resulting intellectual property.
7. Acceptable use
You must not use the Site or a Product unlawfully; to infringe anyone's rights; to introduce malware; to attempt to gain unauthorised access to our or others' systems; to interfere with the Site's operation; or in a way that places an unreasonable load on our infrastructure. We may suspend or end your access if you breach this clause.
8. Support
Support is available by email at support@massflowlabs.com.
9. Third-party platforms and services
Our Products may work with third-party platforms such as Shopify, Stripe, Google and others. Those services are provided by third parties under their own terms, and we are not responsible for their availability, changes or charges. Changes made by a third party may affect how a Product works.
10. Your statutory rights as a Consumer
If you are a Consumer, nothing in these terms affects your legal rights, including those under the Consumer Rights Act 2015 (which require goods, digital content and services to be as described, of satisfactory quality, fit for purpose and provided with reasonable skill and care) and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Our Refund Policy explains your right to cancel.
11. Our liability
- Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded, including a Consumer's statutory rights.
- Consumers: we are responsible for foreseeable loss and damage caused by our breach of these terms or our negligence. We are not responsible for loss that was not foreseeable, or for business losses, as we supply Products for private use only.
- Businesses: subject to clause 11.1, we are not liable for loss of profit, revenue, business, goodwill or data, or for any indirect or consequential loss; and our total liability arising out of or in connection with any contract is limited to the fees you paid us for the Product in the 12 months before the claim arose.
- Products are provided with reasonable skill and care but we do not promise they will be uninterrupted or error-free, and you are responsible for keeping your own backups of important data.
12. Data protection
We handle personal information in line with our Privacy Policy. Where a Product processes personal data of your customers on your behalf, we act as your processor and will enter into a data processing agreement with you on request.
13. Suspension and termination
We may suspend or terminate your access if you materially breach these terms, fail to pay, or if we must do so by law. You may stop using a Product at any time; any right to a refund is set out in our Refund Policy. Clauses which by their nature should continue (including intellectual property, liability and governing law) survive termination.
14. Events outside our control
We are not liable for delay or failure caused by events beyond our reasonable control, such as outages of internet, hosting or payment providers, power failure, industrial action, or government action.
15. Changes
We may update these terms from time to time. The version in force when you place an order applies to that order. We may update the Site and Products, including to reflect changes in law or third-party platforms, and will give reasonable notice of material changes to a subscription.
16. General
- Entire agreement: these terms, together with our Privacy Policy, Refund Policy, Shipping Policy and any order confirmation, are the whole agreement between us on their subject.
- Assignment: we may transfer our rights and obligations to another organisation; you may not without our written consent.
- Severance and waiver: if any provision is found unenforceable the rest continues, and a delay in enforcing a right is not a waiver of it.
- Third parties: no one other than you and us has any right to enforce these terms under the Contracts (Rights of Third Parties) Act 1999.
- Notices: we will contact you at the email address you gave us; you may contact us at support@massflowlabs.com.
17. Governing law and disputes
These terms and any dispute or claim arising from them (including non-contractual disputes) are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that if you are a Consumer living in Scotland or Northern Ireland you may also bring proceedings in the courts of that country. If you are a Consumer you may also use any available alternative dispute resolution scheme. We will first try to resolve any complaint informally: please email support@massflowlabs.com.
